Benessential™ Discount Program Member Contract

This Benessential Discount Program Group Contract (the "Agreement") is between Wyssta Services, Inc. ("Wyssta") and you ("Covered Member") for the Benessential Discount Program ("Program"). This Agreement governs the Benessential Discount Program by Wyssta and provided through arrangement with EyeMed Vision Care, LLC (EyeMed), Innoviant Inc. (Innoviant), and/or American Dental Professional Services (ADPS), together ("Network Vendors"). On behalf of Group's eligible employees and their eligible dependents, the Group has entered into this Agreement through execution of the Benessential Discount Program Employer Application, which is made the cover page to this Agreement.

  1. Definitions

    1. "Covered Member" means any person enrolling in the Plan and for whom all membership fees have been paid.
    2. "Eligible Dependents" means family members living with the Covered Member or family members not living with the Covered Member who are financially dependent on the Covered Member.
    3. "Participating Provider" means a:
      1. vision care provider who has entered into a contract with EyeMed to participate in the Program and who appears on the Program vision provider network list;
      2. pharmacy provider who has entered into a contract with Innoviant to participate in the Innoviant Program and who appears on the Program pharmacy provider network list;
      3. dental provider who has entered into a contract with ADPS to participate in the ADPS Discount Network Program and who appears on the Program dental provider network list;
      4. chiropractic provider who has entered into a contract with ADPS to participate in the Program and who appears on the Program chiropractic provider network list.
    4. "Services" means the services and materials subject to discount and specified on the services and discount schedules, which are included as a part of this Agreement as Attachments A through D.
    5. "Benessential Discount Program" or "the Program" means the Application for Benessential Discount Program (the Application), this Agreement and all schedules, exhibits or attachments hereto, including Attachments A through D, setting forth the terms and conditions under which a Covered Member and his/her Eligible Dependents can obtain the discounts on services and materials provided on Attachments A through D.
    6. "Membership Fee" means the fee for membership in the Benessential Discount Program.
  2. Discount Plan

    THE BENESSENTIAL DISCOUNT PROGRAM IS NOT INSURANCE. It is a fee discount plan under which Covered Members and their Eligible Dependents receive discounts from Participating Providers for products, materials, and services. Wyssta offers the Benessential Discount Program, through arrangement with EyeMed, Innoviant, and ADPS. Participating Providers may not be available in all areas and are subject to change without notice. Network Vendors are also subject to change without notice. Covered Members may check the provider list on Benessential's website at www.benessential.com or may call Benessential at 877-545-4541 to determine whether a provider is a Participating Provider.

  3. Membership Terms and Conditions

    The following terms and conditions of this Agreement govern the Benessential Discount Program provided to Group on behalf of Covered Members and their Eligible Dependents. Group should read the terms of this Agreement carefully and communicate any questions to Benessential Program representatives available by telephone from 8:00 am to 6:00 pm Central Time Monday - Thursday and 8:00 am to 5:00 pm Central Time Friday at 877-545-4541.

    1. Description of Benefits. Each Covered Member and his/her Eligible Dependents are entitled to receive discounts on the products, materials and services that are set forth in the schedules included with this Agreement as Attachments A through D, when services are provided by a Participating Provider. The eligible services, products, materials, and fee discounts are subject to change, modification, or substitution at any time without notice to the Covered Member. In order to receive services at the discounted rate, a Covered Member or his/her Eligible Dependents must present their Benessential Discount Card to the Participating Provider before services are rendered. Wyssta is not responsible for any fees or costs that a Covered Member or his/her Eligible Dependent may owe Participating Providers for services.
    2. Membership Term. The membership term begins on the Program effective date of the Agreement shown on the Application and continues monthly while all membership fees are paid in full. Once the Benessential Discount Program Membership Fee is paid, a Covered Member and his/her Eligible Dependents will be entitled to the discounts provided under the Program beginning on the first day of the following month. Retroactive changes in membership, either enrollment or termination, are not allowed.
    3. Membership Payment/Billing. Payment for the initial and any renewal Benessential Program Membership Fee will be charged against the Member’s credit or debit card or effected through an ACH Financing Agreement no later than the 15th working day of each month preceding the month for which the program is in effect. Wyssta reserves the right to adjust the Program Membership Fee at any time with thirty (30) days advance written notice to the Member. Any adjustment will be effective on the date given in the notice.
    4. Termination. The Member may terminate this agreement by giving Benessential a minimum of thirty (30) days advance notice in writing. The termination will take effect the first of the month following the thirty (30) day notice time period.
  4. Covered Member Representations and Acknowledgements

    In return for the discounts and benefits available under the Program, the Group makes the following representations and acknowledgements:

    1. Member understands that this Agreement becomes effective upon execution of the Application. The Application will become a part of this Agreement as the cover page.
    2. Member has read this Agreement carefully, understands that the Program is a fee discount program and not insurance, and understands the terms and conditions of the Program.
    3. Payment of the Program Membership Fee will be charged by the 15th working day of each month in advance for the month following.
    4. Membership in the Program and benefits thereunder are not assignable, and are available only for Covered Member's personal benefit or for the benefit of Covered Member's Eligible Dependents.
    5. Member understands that Wyssta bears no responsibility for the payment of (or contribution to) the services provided under the Program. Payment of Participating Providers' discounted fees remain the sole responsibility of Covered Members who are responsible for paying Participating Providers for services rendered at time of service unless otherwise agreed upon by Covered Member and Participating Provider.
    6. Member understands that Participating Providers may not be available in all areas and are subject to change without notice. Covered Members may check the Benessential website at www.benessential.com or call Benessential at 877-545-4541 prior to choosing a provider for service.
    7. Member understands that all Participating Providers and/or vendors are independent contractors, and that Wyssta is in no way responsible for the services provided by a Participating Provider or vendor.
    8. Member understands that the Benessential Discount Program is not insurance and it is not intended that it replace other insurance coverage. Whether the Program reduces deductibles, co-payments, or other out-of-pocket expenses for services that are covered by insurance may depend on the specific terms of the insurance policy involved.
  5. Disclaimer of Warranties

    Wyssta is not a merchant, manufacturer, or a direct provider of the services available to Covered Employees. Accordingly, Wyssta does not give any warranty, express or implied, as to description, quality, merchantability, fitness for any particular purpose, productiveness, or any other matter, for any services or merchandise purchased or received by a covered employee from a provider or vendor through his/her membership in the Benessential program. Covered Employee acknowledges that he/she is not relying on Wyssta's skill or judgment in selecting a provider or vendor for the services available to covered employee and his/her eligible dependents. In the event any product or service purchased or received by a Covered Employee is canceled, modified, defective, or otherwise unsatisfactory, the Covered Employee will look solely to the Participating Provider, Seller, Merchant, or Manufacturer of the product or service for any repair, exchange, refund, or satisfaction of claim. It is further understood that all services requested are subject to the availability of such services and any information provided to Covered Employee is subject to change without notice.

  6. Miscellaneous

    1. Notices. Any and all notices, consents, approvals, requests, and other written communications given or required under the terms of this Agreement shall be deemed to have been duly given and served when sent by first class mail, postage prepaid and addressed to Benessential at:

    2. Entire Agreement. This Agreement sets forth the entire agreement and understanding of the parties with regard to membership in the Program. No representations, inducements, promises or agreements, or otherwise, shall be of any force or effect. The validity or unenforceability of any term of this Agreement shall in no way affect the validity or enforceability of any other terms or provisions of this Agreement.
    3. Binding Effect. This Agreement shall be binding upon and inure to the benefit of the parties as well as their respective successors and permitted assigns.
    4. Governing Law. This Agreement shall be governed and construed in accordance with the laws of the State of Wisconsin regardless of any application of principles regarding conflicts of laws.
    5. Headings. The headings or captions provided throughout this Agreement are for reference purposes only and shall in no way affect the meaning or interpretation of this Agreement.
    6. Waiver of Breach. Waiver of breach of any provision of this Agreement shall not be deemed a waiver of any other breach of the same or different provision.

IN WITNESS WHEREOF, Wyssta Services, Inc has executed and attested this Agreement; however, this Agreement is not effective unless the Group has executed a fully completed Application.

Pharmacy Care Services and Discount Schedule

DEFINITIONS

  1. MAC:

    MAC is an acronym for Maximum Allowable Cost. It is a cost management program that sets upper limits on the payment for equivalent drugs available from multiple manufacturers. It is the highest unit price that will be paid for a drug. Mac is applied to generic drugs - not brand-name drugs.

  2. AWP:

    AWP is an acronym for Average Wholesale Price. The average wholesale price is the average industry published price for a given drug. The MAC then becomes a percentage off the AWP price on a drug.
